Acceptance of Terms

This Terms of Use agreement creates a legally binding contract between you (whether acting individually or representing an organization) and The House of Katherine Leigh (referred to as "Company," "we," "us," or "our") regarding your use of the thehouseofkatherineleigh.com website and any associated media platforms, mobile applications, or connected services (referred to collectively as the "Site"). By using the Site, you confirm that you have reviewed, understood, and agree to follow all Terms of Use. If you disagree with any portion of these terms, you must immediately stop using the Site.

You agree to pay all charges at current prices for purchases and applicable shipping costs, authorizing us to charge your selected payment provider upon order placement. We reserve rights to correct pricing errors even after payment requests or receipt.

We may refuse any order at our discretion and may limit or cancel purchase quantities per person, household, or order. Prohibited Uses

User-Generated Content

The Site may offer opportunities to participate in blogs, forums, message boards, and other interactive features where you can create, submit, post, display, transmit, perform, publish, distribute, or broadcast content including text, videos, audio, photographs, graphics, comments, suggestions, or personal information (collectively "Contributions"). Other users and third-party websites may view Contributions, which may be treated as non-confidential and non-proprietary. Creating or sharing Contributions means you represent and warrant that:

  • Creating, distributing, transmitting, displaying, performing, accessing, downloading, or copying your Contributions will not violate third-party proprietary rights including copyright, patent, trademark, trade secret, or moral rights
  • You own or possess necessary licenses, rights, consents, releases, and permissions to use and authorize us, the Site, and other users to use your Contributions as contemplated
  • You have written consent from all identifiable individuals in your Contributions for name and likeness usage
  • Your Contributions contain accurate information
  • Your Contributions are not advertising, promotional materials, pyramid schemes, chain letters, spam, mass mailings, or solicitation
  • Your Contributions are not obscene, lewd, violent, harassing, libelous, slanderous, or otherwise objectionable
  • Your Contributions do not ridicule, mock, disparage, intimidate, or abuse others
  • Your Contributions do not advocate government overthrow or threaten physical harm
  • Your Contributions comply with all applicable laws and regulations
  • Your Contributions respect third-party privacy and publicity rights
  • Your Contributions contain no material soliciting information from minors or exploiting those under 18
  • Your Contributions do not violate child protection laws
  • Your Contributions contain no offensive comments related to race, national origin, gender, sexual preference, or physical disability
  • Your Contributions otherwise comply with these Terms and applicable laws

Violating these requirements may result in termination or suspension of Site access rights.

Content License

Posting Contributions to the Site automatically grants us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide license to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly perform, publicly display, reformat, translate, transmit, excerpt, and distribute such Contributions for any purpose, commercial or otherwise, and to prepare derivative works or incorporate into other works. This license applies to any current or future media formats and technologies.

The license includes use of your name, company name, franchise name, trademarks, service marks, trade names, logos, and personal or commercial images you provide. You waive moral rights in your Contributions and warrant that no moral rights have been asserted.

We do not claim ownership of your Contributions. You retain full ownership and intellectual property rights in your Contributions. We accept no liability for statements or representations in your Contributions and you bear sole responsibility, agreeing to hold us harmless and refrain from legal action regarding your Contributions.

We maintain sole discretion to: (1) edit, redact, or modify any Contributions; (2) re-categorize Contributions for appropriate Site placement; and (3) pre-screen or delete Contributions anytime without notice. We have no monitoring obligations.

Review Guidelines

Site areas may be provided for leaving reviews or ratings. Review posts must meet these criteria: (1) base reviews on firsthand experience; (2) avoid offensive profanity, abuse, racism, or hate language; (3) exclude discriminatory references regarding religion, race, gender, national origin, age, marital status, sexual orientation, or disability; (4) contain no references to illegal activities; (5) avoid posting negative reviews if affiliated with competitors; (6) make no legal conduct conclusions; (7) contain no false or misleading statements; and (8) avoid organizing review campaigns.

We may accept, reject, or remove reviews at our sole discretion without screening obligations, even if considered objectionable or inaccurate. Reviews do not represent our opinions or affiliate views. We assume no liability for reviews or resulting claims, liabilities, or losses. Posting reviews grants us perpetual, non-exclusive, worldwide, royalty-free, fully-paid, assignable, and sublicensable rights to reproduce, modify, translate, transmit, display, perform, and distribute all review content.

User Submissions

Questions, comments, suggestions, ideas, feedback, or other information about the Site or services ("Submissions") become our sole property upon receipt. We own exclusive rights including intellectual property rights and may use and distribute Submissions for any lawful purpose without acknowledgment or compensation. You waive moral rights to Submissions and warrant they are original or you possess submission rights. No recourse exists against us for alleged or actual infringement of proprietary rights in your Submissions.

The Site may contain links to other websites ("Third-Party Websites") and content from external sources including articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, and software ("Third-Party Content"). Leaving the Site to access Third-Party Websites or using Third-Party Content occurs at your own risk under different terms and policies. You should review applicable terms, policies, and data practices of any external website or application. Third-Party Website purchases are between you and other companies - we accept no responsibility for such transactions. Website Administration

We reserve rights, without obligation, to: (1) monitor the Site for Terms violations; (2) take legal action against violators including law enforcement reporting; (3) refuse, restrict, limit, or disable Contributions at our sole discretion; (4) remove or disable excessive or burdensome files and content without notice or liability; and (5) manage the Site to protect our rights and property and ensure proper functioning.

Privacy Policy

Data privacy and security matter to us. Please review our Privacy Policy, which is incorporated into these Terms. The Site operates from the United States. Accessing from the European Union, Asia, or other regions with different data laws constitutes data transfer to the United States with your express consent for U.S. processing. We do not knowingly collect information from children or market to minors. Per the U.S. Children's Online Privacy Protection Act, we will promptly delete any information from users under 13 received without proper parental consent.

Duration and Termination

These Terms remain effective during Site usage. We reserve rights to deny Site access and services (including IP address blocking) to any person for any reason without notice or liability, including Terms violations or applicable law breaches. We may terminate usage, participation, or delete accounts and content anytime without warning at our sole discretion.

Account termination or suspension prohibits creating new accounts under your name, false names, or third-party names. Beyond account termination, we reserve rights to pursue appropriate legal action including civil, criminal, and injunctive remedies.

Site Changes and Interruptions

We reserve rights to change, modify, or remove Site contents anytime for any reason without notice or update obligations. We may also modify or discontinue services without notice. No liability exists for modifications, price changes, suspension, or discontinuance.

We cannot guarantee continuous Site availability and may experience hardware, software, or maintenance issues causing interruptions, delays, or errors. We reserve rights to change, revise, update, suspend, discontinue, or modify the Site anytime without notice. You agree we bear no liability for losses, damages, or inconvenience from inability to access the Site during downtime or discontinuance. These Terms create no obligation to maintain, support, or provide corrections, updates, or releases.

Applicable Law

These Terms and Site usage are governed by Kansas state laws applicable to agreements made and performed entirely within Kansas, excluding conflict of law principles.

Dispute Resolution

Informal Negotiations

To expedite resolution and control dispute costs, Parties agree to attempt informal negotiation for at least thirty (30) days before initiating arbitration for any controversy or claim related to these Terms (each a "Dispute"). Informal negotiations begin with written notice between Parties.

Binding Arbitration

Unresolved Disputes will be settled exclusively through binding arbitration. This provision removes your right to court trials and jury proceedings. Arbitration follows American Arbitration Association Commercial Arbitration Rules and AAA Consumer Rules (available at www.adr.org). AAA Consumer Rules govern arbitration fees and arbitrator compensation. Arbitration may occur in-person, through document submission, by phone, or online. Written arbitrator decisions are required only upon request. Arbitrators must follow applicable law with challengeable awards for legal failures. Arbitration location is United States County, Kansas, except where AAA rules or law require otherwise. Parties may litigate to compel arbitration, stay proceedings, or confirm, modify, vacate, or enter judgment on arbitrator awards.

Court proceedings for Disputes will occur in Kansas state and federal courts, with Parties consenting to jurisdiction and waiving personal jurisdiction and forum non conveniens defenses. United Nations Convention on Contracts for International Sale of Goods and Uniform Computer Information Transaction Act are excluded.

Disputes must commence within one (1) year of cause arising. If this provision proves illegal or unenforceable, affected Disputes will be decided by competent courts with Parties submitting to personal jurisdiction.

Restrictions

Arbitration is limited to individual Party Disputes. To the fullest legal extent: (a) no arbitration joins with other proceedings; (b) no class-action arbitration rights or procedures exist; and (c) no representative capacity rights exist for general public or other persons.

Exceptions to Informal Negotiations and Arbitration

These Disputes are exempt from negotiation and arbitration requirements: (a) intellectual property enforcement or protection disputes; (b) theft, piracy, privacy invasion, or unauthorized use allegations; and (c) injunctive relief claims. If this provision is illegal or unenforceable, exempt Disputes proceed in courts listed above with personal jurisdiction submission.

Error Corrections

Site information may contain typographical errors, inaccuracies, or omissions regarding services, descriptions, pricing, availability, and other details. We reserve rights to correct errors, inaccuracies, or omissions and update Site information anytime without prior notice.

User Information

We maintain transmitted Site data for performance management and usage-related data. Despite regular backups, you bear sole responsibility for transmitted data and Site activity-related information. We have no liability for data loss or corruption, and you waive action rights for such data issues.

Electronic Communications, Transactions, and Signatures

Site visits, emails, and online form completion constitute electronic communications. You consent to electronic communications and agree that electronic agreements, notices, disclosures, and communications via email and the Site satisfy legal writing requirements. You agree to electronic signatures, contracts, orders, records, and electronic delivery of notices, policies, and transaction records. General Provisions

These Terms and Site policies constitute the complete agreement between you and us. Our failure to exercise or enforce rights or provisions does not constitute waiver. These Terms operate to the fullest legal extent. We may assign rights and obligations to others anytime. We are not responsible for losses, damages, delays, or failures caused by circumstances beyond our reasonable control. Unlawful, void, or unenforceable provisions are severable without affecting remaining provision validity. No joint venture, partnership, employment, or agency relationship exists between you and us from these Terms or Site usage. These Terms will not be construed against us for drafting them. You waive defenses based on electronic form and lack of physical signatures.
